These Terms of Service ("Terms") form a binding agreement between you ("Client", "you") and Vexriano ("Vexriano", "we", "us", "our") governing your access to and use of vexriano.com, our client dashboard, our Expert Advisor ("EA"), trading signals, analysis tools, our Trading Partnership (copy trading via MQL5 Signals) service, Vexriano Vault, our Associate/Referral Partner program, and all related services (together, the "Services"). By creating an account, purchasing a license, subscribing to signals, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, our Refund Policy and our Risk Disclosure, each incorporated here by reference. If you do not agree, do not use the Services.
"EA" means our proprietary Expert Advisor software licensed for use on a registered MetaTrader 4/5 account. "Signals" means the trade ideas, alerts and analysis delivered through the dashboard or connected channels. "Trading Partnership" means our copy-trading arrangement under which you subscribe to our signal on a third-party platform (MQL5.com) so that trades are copied automatically into your own brokerage account, without granting us any trade-execution access, credentials, or control over that account. "Vault" means Vexriano Vault, our separate encrypted digital-vault application for Windows and Android, described further in Section 6. "Associate" or "Partner" means a Client enrolled in our referral/commission program. "License" means the non-exclusive right to use the EA, Signals, or Vault granted under Section 5 or Section 6, as applicable. "Content" means all software, text, data, graphics, reports and other materials made available through the Services.
You must be at least 18 years old and have the legal capacity to enter into this agreement. Vexriano's Services, including copy trading, signal subscriptions, and EA/robot licenses, are not offered to residents of jurisdictions where such services are restricted or require local licensing to receive. By creating an account or using the Services, you confirm that: (a) you are not a resident of, or accessing the Services from, the United States, or any jurisdiction listed on applicable international sanctions lists (including but not limited to Cuba, Iran, North Korea, Syria); (b) you are not otherwise subject to any trade sanctions or watchlist maintained by a competent authority; (c) you are solely responsible for determining whether your use of the Services is lawful under the laws of your country of residence, including any foreign exchange, capital control, or investment advisory regulations that may apply to you; (d) if you are located in India or any jurisdiction with restrictions on foreign exchange trading or the receipt of paid trading signals/recommendations, you acknowledge that Vexriano makes no representation as to the legality of using the Services under your local law, and you use them entirely at your own risk and discretion; and (e) all information you provide during registration and KYC verification is accurate, current and complete. We may refuse, suspend or terminate service to anyone who does not meet these requirements.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. We strongly recommend enabling two-factor authentication (2FA), available from your dashboard. Notify us immediately at support@vexriano.com if you suspect unauthorized access. One account is permitted per individual; duplicate or fraudulently created accounts may be suspended without notice, including any associated licenses, signal access or referral commissions.
Certain features — including withdrawals, the Associate/Partner program, and Trading Partnership onboarding — require identity verification. You agree to submit accurate identification documents when requested and to promptly update them if your information changes. We may decline, delay, or reverse a transaction pending verification, and may decline service to any applicant whose documentation cannot be verified to our reasonable satisfaction.
The EA and Signals are licensed, not sold. Each EA license is bound to the specific MT4/MT5 trading account number(s) you register at purchase or activation and may not be shared, resold, sublicensed, or transferred to another person or account without our written consent. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the EA, nor tamper with, circumvent, or attempt to defeat the license validation mechanism described in our Privacy Policy. We may suspend or permanently revoke any license, without refund, for breach of this Section.
Vault is offered in three tiers: a no-cost "Free" tier requiring only a verified Vexriano account, and two one-time-purchase tiers, "Lite" and "Pro". A Lite or Pro license is licensed, not sold, rather than a subscription, and is yours to use indefinitely once issued; it may not be shared, resold, sublicensed, or transferred without our written consent. Your Lite or Pro install includes a 14-day free trial from first launch; we issue your permanent license key by email once your order is confirmed, and it is not tied to any specific device until you activate it. You may upgrade from Free to Lite or Pro, or from Lite to Pro, at any time for the price shown in your dashboard. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive Vault's source code, nor tamper with, circumvent, or attempt to defeat its license validation mechanism, on any tier. We may suspend or permanently revoke a Vault license, without refund, for breach of this Section.
Your vault data is entirely your responsibility. Vault is designed so that your vault file — and the encryption keys that protect it — never leave your own device, or the cloud folder you personally choose to sync it through; we have no access to, and cannot view, recover, reset, or restore, the contents of your vault. Your master password and 24-word recovery phrase (and, on Pro, any emergency access key or recovery shares you configure) are the only ways into your vault. If you lose all of them, your vault data is permanently and irrecoverably lost, and Vexriano bears no liability for that loss. We strongly recommend storing your recovery phrase somewhere safe and separate from your device.
Signals are informational content delivered on a best-efforts basis and may be delayed, incomplete, or unavailable due to connectivity, third-party platform issues, or maintenance. We do not guarantee that any signal will be delivered in time for you to act on it, nor that acting on a signal will be profitable. You are solely responsible for deciding whether, when and how to act on any Signal.
Our Trading Partnership service is offered subject to eligibility, KYC verification, and applicable local regulations, and may be unavailable in some jurisdictions. Under a Trading Partnership: (a) you link your own trading account, held with your own independent, regulated broker, to replicate trades executed on a Vexriano strategy account by subscribing to our signal on MQL5.com — we never receive your credentials, trade-execution access, or any ability to act on your account directly, and we never take custody of, or withdrawal rights over, your funds; (b) you may disconnect, pause, or override the copy-trading link at any time — via MQL5.com/your broker, or by notifying us — without needing our permission; (c) trade replication is subject to the technical limitations of the copy-trading platform (e.g. slippage, execution delay, partial fills) and market conditions, and replicated trades may differ from the original signal in execution price or timing; (d) capital is at risk and returns, if any, are never guaranteed; (e) our performance fee, where applicable, is calculated only on net profit for a given period and is disclosed to you before the fee is charged, as reflected in your dashboard; and (f) Vexriano is not a party to, and has no responsibility for, the relationship between you and your broker, including execution quality, order handling, custody of funds, or withdrawal processing.
Approved Associates and Partners earn commission on qualifying activity generated through their unique referral link or code, at the rate(s) shown in their dashboard at the time the qualifying activity occurs. We reserve the right to change commission rates or program terms prospectively, with notice through the dashboard or by email; changes do not affect commissions already earned and confirmed. Self-referrals, fraudulent referrals, and any attempt to manipulate the referral or commission system are prohibited and may result in forfeiture of unpaid commissions and termination of the account responsible.
Current prices are shown on the site and in your dashboard and are subject to change prospectively. We accept payment via supported cryptocurrency gateways and, where enabled, manual USDT transfer. Cryptocurrency payments are final and irreversible once confirmed on the relevant blockchain, subject only to our Refund Policy. Wallet balances shown in your dashboard reflect funds available for withdrawal or in-platform purchases and are subject to our internal review and any applicable minimum-withdrawal threshold.
All software, Signals, analysis, educational content and commentary provided through the Services are for informational and educational purposes only and do not constitute financial, investment, legal or tax advice, nor a recommendation or solicitation to buy or sell any instrument. Vexriano is not a licensed financial adviser, broker-dealer, or portfolio manager. Nothing in the Services creates an advisory or fiduciary relationship between you and Vexriano, and you are solely responsible for your own trading decisions. Past performance, backtested results, and any illustrative figures — including any performance figures, track records, or statistics displayed via Myfxbook or similar third-party verification — are historical and not indicative of future results, and we make no guarantee, express or implied, of any specific outcome, profit, or absence of loss. You agree not to: reverse engineer, decompile or tamper with the EA or its licensing mechanism; resell, redistribute or sublicense any Content without authorization; abuse, manipulate or attempt to defraud the Associate/Partner program; submit false, misleading or fraudulently obtained KYC information; interfere with the security, integrity or normal operation of the Services (including automated scraping, unauthorized API access, or attempts to bypass rate limits or access controls); or use the Services for any unlawful purpose. We may suspend or terminate access, without refund, for violation of this Section.
The EA, Signals, website, dashboard, documentation, trademarks, logos and all other Content are the exclusive property of Vexriano or its licensors and are protected by applicable intellectual property laws. These Terms grant you only a limited, non-exclusive, non-transferable license to use the Services as described herein; no ownership rights are transferred to you.
We may suspend or terminate your account, license, signal access, or Trading Partnership, with or without notice, for breach of these Terms, suspected fraud, non-payment, or as required by law. You may close your account at any time by contacting support@vexriano.com. Termination does not entitle you to a refund of fees already earned by us, and any outstanding referral commissions are handled in accordance with Section 9. Sections that by their nature should survive termination (including 6, 11, 13, 15, 16 and 17) will survive.
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by applicable law, Vexriano, its officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages — including but not limited to trading losses, lost profits, or loss of capital — arising from or related to your use of Vexriano's EA/robot products, market analysis, signals, or copy-trading service. This includes losses resulting from execution delays, slippage, platform outages, broker-side issues, or deviations between a published signal and the trades replicated in your account, as well as losses arising from broker actions, market conditions, connectivity failures, or force majeure events. Where liability cannot be excluded under applicable law, Vexriano's total liability for any claim arising from your use of the Services shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Vexriano and its officers, employees and affiliates from any claim, demand, loss or liability, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Before initiating any formal proceeding, you agree to first contact us at support@vexriano.com so we can attempt to resolve the matter informally within a reasonable period. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over our principal place of business in India.
We may update these Terms from time to time to reflect changes to our Services, legal requirements, or business practices. Material changes will be notified via the dashboard or by email where practical. Continued use of the Services after a change takes effect constitutes your acceptance of the revised Terms.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. You may not assign your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Vexriano regarding the Services and supersede any prior agreements. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control (force majeure), including but not limited to broker or exchange outages, internet or hosting provider failures, and acts of government.
